Please read this carefully. It is a release of legal rights. By checking the box and entering your name, you give up the right to sue for certain injuries. Do not agree if you do not understand it.

This Waiver is between you (the "Participant," or the parent or legal guardian agreeing on a minor's behalf) and TopSeed AI, Inc. ("TopSeed"), the Organizer named above, and the venue and its owner (together, the "Released Parties").

1. Voluntary Participation

You are choosing to take part in this event freely and voluntarily. You confirm that the Participant is physically able to take part, and that you are responsible for the Participant's own health, fitness, and any medical or accident insurance.

2. Assumption of Risk

Tennis, pickleball, and related physical activities involve inherent risks that cannot be eliminated no matter how much care is taken. These risks include strenuous exertion, slips, trips, and falls, contact with balls, equipment, court surfaces, or other people, weather and facility conditions, and the risk of serious injury, illness, permanent disability, or death.

You knowingly and freely accept and assume all such risks, both known and unknown, and accept full responsibility for any injury, loss, or damage the Participant may suffer.

3. Release and Waiver of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, AND DISCHARGE THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, OR CAUSES OF ACTION OF ANY KIND ARISING OUT OF OR RELATED TO THE PARTICIPANT'S PARTICIPATION IN THIS EVENT, INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF ANY OF THE RELEASED PARTIES.

This release covers claims for personal injury, illness, death, and property damage. It binds you, the Participant, and your and the Participant's heirs, executors, administrators, successors, and assigns.

4. Limit of This Release

This Waiver does not release any of the Released Parties from liability for gross negligence, recklessness, or willful or intentional misconduct, and it does not waive any right that cannot be waived under applicable law.

5. If the Participant Is a Minor

If you are agreeing to this Waiver as the parent or legal guardian of a Participant under 18, you confirm that you have the authority to do so. You agree to everything in this Waiver on your own behalf and on behalf of the minor, including the assumption of risk in Section 2 and the release in Section 3.

You also agree to indemnify and hold the Released Parties harmless from any claim, loss, liability, or expense, including reasonable attorneys' fees, brought by you, by the minor, or by anyone acting on the minor's behalf, arising out of the minor's participation in this event, to the fullest extent permitted by law.

You consent to the Organizer or event staff arranging emergency medical care for the minor if needed, and you accept responsibility for the cost of that care.

6. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold the Released Parties harmless from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of the Participant's participation in this event or your breach of this Waiver, except to the extent caused by a Released Party's gross negligence or willful misconduct.

7. Waiver of California Civil Code Section 1542

You expressly waive the protections of California Civil Code Section 1542, which reads:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You understand that you are releasing claims that you may not know about or suspect exist at this time.

8. Governing Law

This Waiver is governed by the laws of the State of California, without regard to its conflict-of-laws rules. If any part of this Waiver is found unenforceable, the rest remains in full effect, and the unenforceable part will be limited only as much as necessary.

9. Acknowledgment

By checking the box below and entering your name, you confirm that you have read and understood this Waiver, that you are agreeing to it freely, and that you intend it to be a complete and binding release to the fullest extent permitted by law.
